These Terms of Service ("Terms") govern your access to and use of the services, websites, and document products operated by Legal Tuning LLC ("Legal Tuning," "we," or "us"), including the website at https://legaltuning.comand any compliance documents, license credentials, or registry listings we provide. By using our services or purchasing any product, you ("you" or "Customer") agree to these Terms.
1. Eligibility and acceptance
You must be at least 18 years old and authorized to act on behalf of the business you represent to purchase or use our products. By accepting these Terms or completing a purchase, you represent that you have such authority.
2. The services
Subject to these Terms, Legal Tuning LLC provides:
- Compliance Instruments: a set of operational templates customized to the member shop and issued as Microsoft Word documents.
- Member Registration: an industry credential issued in the form
LT-YYYY-NNNNNthat appears on every page of every issued instrument and is verifiable at https://legaltuning.com/verify. - Member Registry Entry: inclusion in the public Legal Tuning Member Registry, displaying shop legal name, city and state, area of practice, registration number, enrollment tier, and current status.
- Optional Add-Ons: Featured Registry Placement, registration renewal, staff training, additional compliance counsel, and Member Defense as described on the Pricing page.
3. Pricing, payment, and renewal
Pricing is set forth on the Pricing page and is subject to change with respect to new enrollments. Charges are denominated and processed in U.S. dollars. The twelve-month member registration included in each enrollment tier may be renewed for a fee disclosed at the time of enrollment. Renewal is opt-in and may be cancelled at any time before the renewal date.
Refunds: Because each compliance packet is prepared specifically for the member shop and bears a unique registration number, all sales are final once preparation of the instruments has commenced. A refund may be requested in writing within twenty-four (24) hours of enrollment provided that preparation has not yet commenced.
4. License grant; ownership of materials
Subject to your continued compliance with these Terms, we grant you a perpetual, non-exclusive, non-transferable, non-sublicensable license to use the documents we deliver in your shop's ordinary course of business. You may not resell, redistribute, sublicense, or share the documents with another business. The member number stamped on each page is unique to your shop and is the property of Legal Tuning LLC.
If we discover documents bearing your member number being used by another business without authorization, we reserve the right to suspend or revoke the registration, remove the listing from the registry, and pursue any other remedy available at law or equity.
5. No legal advice; no attorney–client relationship
Legal Tuning is not a law firm. We do not engage in the practice of law, do not provide legal advice, and our staff are not your attorneys. The materials we provide are operational templates intended to support your compliance program. They should be reviewed by qualified legal counsel licensed in your jurisdiction before adoption.
Nothing in our materials, communications, or services creates an attorney–client relationship between you and Legal Tuning or any of our contractors. If you are in active contact with a regulatory agency, retain qualified counsel without delay.
6. Customer obligations
- You are responsible for the accuracy of information you submit during intake.
- You are responsible for ensuring the documents are reviewed and adopted in a manner appropriate for your jurisdiction and operations.
- You will not misuse the Legal Tuning member mark or imply endorsement of products or services beyond what we have certified.
- You will keep your registry listing information accurate and notify us of changes to your business name, location, or status.
7. Public registry; right to display
By purchasing, you authorize Legal Tuning to display your shop name, city/state, specialty selections, member registration number, package tier, and license status in our public Member Registry while your registration is active. Owner contact information is never published. You may request removal from the public registry at any time, although the member registration itself may be retained on file for verification purposes.
8. Suspension; revocation
We may suspend or revoke a member registration, remove a listing from the registry, or terminate access to our services if a Customer (a) materially breaches these Terms; (b) misuses the Legal Tuning member mark; (c) provides materially false intake information; (d) ceases to operate; or (e) is found to be engaged in conduct that, in our reasonable judgment, conflicts with the purposes of the Compliance Program.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES AND DOCUMENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE DOCUMENTS WILL ENSURE COMPLIANCE WITH ANY LAW OR PREVENT ENFORCEMENT ACTION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGAL TUNING LLC AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF OUR SERVICES OR DOCUMENTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11. Indemnification
You agree to indemnify, defend, and hold harmless Legal Tuning LLC from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with (a) your use or misuse of our services or documents, (b) your violation of these Terms, or (c) your violation of any law or third-party right.
12. Governing law; dispute resolution
These Terms are governed by the laws of the State of [GOVERNING_STATE], without regard to conflict-of-laws rules. Any dispute arising from these Terms will be resolved by binding arbitration administered by a recognized arbitration provider, with each party bearing its own attorney's fees and costs unless an arbitrator awards otherwise. You and Legal Tuning each waive the right to a jury trial and to participate in any class action.
13. Changes to these Terms
We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website and updating the "Effective" date above. Continued use of our services after changes constitutes acceptance of the updated Terms.
